non-binding agreement setting forth the basic terms and conditions under
which an investment will be made. It lays the groundwork for ensuring

most major aspects of the deal. It also confirms the responsibilities of
each party for the legal charges and due diligence expenses incurred in
drawing up a binding agreement or contract.
